Freelancer / Independent Contractor Policy
1. Purpose of This Policy
This policy defines the terms under which freelancers, consultants, and independent contractors (“Contractors”) are engaged by Nahada Technologies (“Company”, “we”, “our”). It establishes a clear non-employment relationship and outlines obligations related to confidentiality, intellectual property, payments, and compliance.
2. Independent Contractor Relationship
Contractors are engaged strictly as independent contractors and not as employees, agents, partners, or representatives of the Company.
- No employment relationship is created or implied
- No statutory benefits, insurance, or leave entitlements apply
- Contractors are responsible for their own taxes and statutory compliance
3. Scope of Work
The scope of work, deliverables, timelines, and compensation shall be defined in writing through a work order, statement of work (SOW), email confirmation, or contract.
- Contractors must adhere strictly to agreed specifications
- Any deviation requires prior written approval
- Sub-contracting is prohibited unless explicitly approved
4. Confidentiality Obligations
Contractors may have access to confidential, proprietary, or client information. Such information must be protected at all times.
- No unauthorised disclosure, copying, or reuse of information
- Confidentiality obligations survive termination of engagement
- Breach may result in legal action and damages
5. Intellectual Property Rights
All work products, deliverables, code, designs, documents, data, and materials created during the engagement shall be deemed “work made for hire”.
- All intellectual property rights vest exclusively with Nahada Technologies
- No ownership, license, or reuse rights are retained by the Contractor
- Contractors waive moral rights where legally permissible
6. Payment Terms
Contractor payments are governed by agreed commercial terms.
- Payments are milestone-based or hourly as agreed
- Invoices must be submitted with required documentation
- Payments are released only after deliverable approval
- No payment is due for incomplete, rejected, or non-compliant work
7. Taxes & Statutory Compliance
Contractors are solely responsible for all applicable taxes, levies, and statutory obligations arising from payments received.
- GST or equivalent tax compliance (if applicable)
- Income tax filings and declarations
- Any withholding or compliance required by law
8. Conduct & Compliance
- Contractors must comply with applicable laws and regulations
- No unethical, unlawful, or prohibited activities are permitted
- Client interaction, if any, must be professional and authorised
9. Termination of Engagement
The Company reserves the right to terminate the engagement:
- For breach of contract or policy
- For non-performance or quality issues
- For confidentiality or IP violations
- Without obligation for future payments beyond approved work
10. Limitation of Liability
The Company shall not be liable for indirect, incidental, or consequential damages arising from the engagement. Contractors indemnify the Company against losses resulting from their acts or omissions.
11. Governing Law & Jurisdiction
This policy is governed by the laws of India. Courts within India shall have exclusive jurisdiction.
